GOVXPRT TERMS OF SERVICE

IMPORTANT: PLEASE READ THESE TERMS OF SERVICE CAREFULLY. BY CREATING AN ACCOUNT, USING GUEST ASK, OR OTHERWISE USING THE GOVXPRT PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE AND OUR PRIVACY POLICY.
1. Acceptance of Terms
By creating an account, accessing, submitting a Guest Ask question, or otherwise using the GovXprt platform ("Platform," "we," "us," or "our"), you ("User," "you," or "your") agree to comply with and be legally bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree to these Terms, you may not create an account or use the Platform, including Guest Ask.
These Terms constitute a legally binding agreement between you and GovXprt.
2. Description of the Platform
GovXprt is a technology platform for California retail food. It helps facility owners and operators understand requirements and prepare materials. The live program is California retail food. Public swimming pools and spas, body art facilities, and other environmental health programs are not currently offered as live programs on the Platform.
GovXprt connects independent Environmental Health Specialists and other qualified professionals ("Experts") with clients seeking preparation support, consulting, training, or related services for California retail food.
The Platform may provide AI-assisted information. AI is preparation support. It is not an official determination, a permit, legal advice, or a decision by a food authority.
Talk to an Expert is the paid path for human review. Experts act in a private capacity as independent professionals. They are not acting as inspectors on your matter.
GovXprt is not a government agency. It does not issue permits, licenses, or official approvals. The owner files with the food authority. Approvals and outcomes remain with that food authority.
Important: GovXprt is a neutral marketplace platform only. We do not employ Experts, do not direct or control the manner in which services are performed, and do not guarantee the quality, accuracy, or outcome of any services provided by Experts or of any AI output. All human services are provided directly by independent Experts to clients.
2A. What GovXprt is not
GovXprt is not a government agency, not a food authority, and not an inspector's office. It does not issue, deny, speed up, delay, or influence permits, licenses, inspections, or official approvals. It does not file with the food authority for you. The owner files. Approvals and outcomes remain with the food authority.
AI output and Expert work on the Platform are preparation support only. They are not legal advice, not engineering advice, not an official determination, not an inspection, and not a substitute for review by the food authority. No attorney-client, inspector-client, or official relationship is created by using the Platform.
You use AI output, Expert comments, and any packet or checklist at your own risk. The food authority may still reject your filing. You may still fail an inspection. You may not present Platform output, packets, or Expert notes to a food authority as official review, official approval, or an inspection report.
A GovXprt packet is preparation material. It is not the official application.
Official California Retail Food Code text and the food authority's own published materials control if they conflict with Platform content.
GovXprt is not a licensing board. A license marked approved on the Platform is a platform status only. It is not a government credential and does not guarantee an Expert's license, official standing, or employment status.
Experts act only in a private capacity. They may not use a government badge, seal, uniform, official title, official email, or government time, computer, or other public resources on Platform matters. They may not claim they can influence their food authority. They may not accept work in their own food authority. The Platform blocks that work. If an Expert's workplace is unknown, the Platform does not match that Expert.
Talk to an Expert is the paid path for human review. Guest Ask is optional preparation support. Submitting a Guest Ask question means you agree to these Terms and the Privacy Policy.
Payment processing uses Stripe authorization holds and later capture. That is not a licensed escrow account. GovXprt is not a bank and is not a licensed escrow agent.
This Platform is not for emergencies or imminent health hazards. Contact the food authority or emergency services.
2B. Additional protections and acknowledgments
Automated system disclosure. Guest Ask and other AI tools on the Platform are automated systems. They are not a human, not an inspector, not a food-authority official, and not a lawyer. The Platform discloses this before you ask. Submitting a question or continuing to use AI tools means you understand you are interacting with an automated system and you agree to these Terms and the Privacy Policy.
Not a law firm or licensed practice. GovXprt is not a law firm and does not practice law. The Platform does not provide legal advice, legal representation, engineering advice, architectural advice, or medical advice. Nothing on the Platform is an official interpretation by a food authority. If you need licensed professional advice, hire a licensed professional. Talk to an Expert is preparation support only.
Live program only. The only live program is California retail food. Fire, building, planning, zoning, public swimming pools and spas, body art, and other programs are not live. Do not rely on the Platform for those programs. If a question is outside the live program, the Platform should refuse it. A refusal is not an official determination.
No influence or prestige sales. You may not use the Platform to seek, offer, or imply influence over a permit, inspection, enforcement action, or official decision. Experts may not sell access, prestige, inside information, or the ability to affect a food authority. Violation is grounds for immediate suspension or termination and may be reported to the Expert's employer or a government authority.
Independent contractors. Experts are independent contractors. GovXprt does not employ Experts and is not a joint employer of any Expert or client. Experts control the manner and means of their private-capacity work. Completing the Attestation does not create employment, partnership, or agency.
No fiduciary or official duty. Use of the Platform does not create a fiduciary duty, an inspector-client relationship, an attorney-client relationship, or an official duty. GovXprt has no duty to file, appear, inspect, testify, or advocate before a food authority.
Your filings are yours. You are solely responsible for what you file, how you operate, and whether you pass an inspection. Platform packets, checklists, AI output, and Expert comments are preparation materials only.
Records. The Platform may keep logs of questions, answers, matches blocked, attestations, payments, and similar events for security, dispute, audit, and legal reasons, as described in the Privacy Policy.
Third-party services. Stripe, LiveKit, Google sign-in, hosting providers, and our AI provider are separate companies with their own terms. An outage, delay, or error by those companies is not a Platform warranty and does not make GovXprt an insurer of official outcomes.
California consumer rights preserved. Nothing in these Terms limits a right that California law says you cannot waive, including any non-waivable consumer right.
Sections 2A, 2B, 8, 9, 10, 11, 12, and 13 survive termination of your account and these Terms.
3. Eligibility and Account Creation
To use the Platform, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- If you are a public employee (including county Environmental Health Specialists), comply with all applicable laws governing outside employment, including but not limited to California Government Code § 1126 and your food authority's incompatible activities policy
By creating an account, you represent and warrant that:
- All information you provide is accurate and complete
- You will maintain the accuracy of your account information
- You are not prohibited from using the Platform under any applicable law
Public Employees: If you are currently employed by a food authority in California, you acknowledge that you are solely responsible for ensuring that your use of the Platform complies with all applicable laws and your employer's policies. The Platform provides tools (including geographic restrictions and attestations) to assist with compliance, but ultimate responsibility remains with you.
4. Geographic Restrictions and Compliance with Public Employee Laws
To protect both Experts and the Platform, the following restrictions apply:
- Experts who are currently employed by a food authority may not accept or perform work through the Platform within the geographic jurisdiction of that food authority. The Platform blocks work in the Expert's own food authority.
- The Platform enforces these geographic restrictions automatically through its matching system.
- If workplace is unknown, the match fails closed.
- You agree not to attempt to circumvent these restrictions.
- Violation of these geographic restrictions may result in immediate suspension or termination of your account and may expose you to legal consequences from your employer.
You acknowledge that these restrictions are designed to help you comply with California Government Code § 1126 and similar laws.
5. Attestation Requirement
Before you can accept paid work on the Platform, you must complete the Attestation (v1.1). This is a separate, binding legal document in which you make specific representations under penalty of perjury regarding your compliance with applicable laws, including public employee outside employment rules.
The Attestation v1.1 remains in effect. Completing it does not replace the Platform's automatic block on work in your own food authority.
Failure to complete or comply with the Attestation will prevent you from accepting work on the Platform.
6. User Conduct and Responsibilities
You agree that you will:
- Use the Platform only for lawful purposes
- Comply with all applicable federal, state, and local laws
- Provide accurate and truthful information in your profile and communications
- Maintain any required licenses, certifications, or qualifications necessary to perform services you offer
- Not use the Platform to harass, defraud, or harm others
- Not attempt to circumvent any technical or geographic restrictions imposed by the Platform
- Not present Platform output, packets, or Expert notes as official food-authority review, approval, or an inspection report
- Not use a government badge, seal, uniform, official title, official email, government time, or public resources on Platform matters
- Not seek or offer influence over a permit, inspection, enforcement action, or official decision
For Experts: You are solely responsible for the quality, accuracy, and legality of any services you provide. You are an independent contractor acting in a private capacity, and not an employee, agent, or partner of GovXprt or any client. You do not act as a government inspector on Platform matters.
7. Fees and Payments
The Platform may charge fees for certain services. All fees will be clearly disclosed before you incur them. Talk to an Expert is the paid path for human review.
Experts acknowledge that the Platform may charge a service fee on transactions completed through the Platform. Payment processing is handled by third-party providers (such as Stripe). Stripe authorization holds are not a licensed escrow account. GovXprt is not a bank and is not a licensed escrow agent. You agree to comply with the terms of any payment processor used by the Platform.
You are solely responsible for all taxes arising from your use of the Platform or income earned through it.
8. Platform Role and Disclaimers
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, title, or non-infringement.
GovXprt does not:
- Act as a government agency or food authority
- Issue, deny, speed up, delay, or influence permits, licenses, inspections, or official approvals
- File on behalf of the owner with the food authority
- Guarantee compliance, a passing inspection, a permit, or any official outcome
- Guarantee that any Expert will be available or suitable for any particular job
- Guarantee the quality, accuracy, or results of any services provided by Experts
- Guarantee the accuracy, completeness, or fitness of AI output, which is preparation support only
- Guarantee an Expert's license, official standing, or employment status
- Act as a licensing board
- Endorse any Expert or client
- Act as an employer or joint employer of any Expert
- Create an attorney-client, inspector-client, or official relationship
To the maximum extent permitted by law, GovXprt disclaims all liability for any damages arising out of or related to services provided by Experts, AI output, disputes between users, filings with a food authority, or your use of the Platform. Some California consumer laws do not allow certain warranty disclaimers. If those laws apply to you, some of the above may not apply.
9. Indemnification
You agree to indemnify, defend, and hold harmless GovXprt, its owners, officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Platform or participation in any transaction facilitated by the Platform;
- Any services you provide or receive through the Platform;
- Any violation of these Terms, the Attestation, or applicable law by you;
- Any dispute between you and another user or third party;
- Any claim by your current or former employer related to your use of the Platform or outside employment; or
- Any false or misleading information you provide.
This indemnification obligation survives termination of your account and these Terms. This section does not require you to indemnify GovXprt for GovXprt's own willful misconduct or fraud, or for any claim that California law does not allow a consumer to indemnify.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOVXPRT AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM; ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM; ANY SERVICES OBTAINED THROUGH THE PLATFORM; ANY AI OUTPUT OR PREPARATION MATERIALS; OR UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT.
IN NO EVENT SHALL GOVXPRT'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (i) THE AMOUNT YOU PAID TO GOVXPRT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR (ii) ONE HUNDRED DOLLARS ($100) IF YOU PAID NOTHING.
Some California laws do not allow certain liability limits. If those laws apply to you, some of the above may not apply. Nothing in these Terms limits liability for death, personal injury, fraud, or willful misconduct to the extent California law does not allow that limit.
11. Termination
We may suspend or terminate your account at any time for any reason, including but not limited to violation of these Terms, the Attestation, or applicable law.
You may delete your account at any time. Upon termination, your right to use the Platform will immediately cease.
12. Dispute Resolution
Please contact support@govxprt.com first. Include your name, the email on your account or Guest Ask session, and a short description of the claim. We will try to resolve the dispute in good faith for thirty (30) days after we receive that written notice.
Small claims. You or GovXprt may bring an individual claim in small claims court in California if the claim qualifies under that court's rules.
Arbitration. If the dispute is not resolved and is not in small claims court, it will be resolved by binding individual arbitration administered by JAMS under the JAMS Consumer Arbitration Minimum Standards and the applicable JAMS rules. The seat of arbitration is California. Hearings may be remote unless JAMS or the arbitrator requires otherwise.
Opt out. You may opt out of arbitration by emailing support@govxprt.com within thirty (30) days of first accepting these Terms. The email must include your name, the email on your account or Guest Ask session, and a clear statement that you opt out of arbitration. Opting out does not affect the rest of these Terms.
Class waiver. You and GovXprt may bring claims only in an individual capacity. Class, collective, consolidated, or representative actions are not allowed, except where California law makes that waiver unenforceable, including any non-waivable public-injunctive-relief right.
Costs. Each party bears its own attorneys' fees unless a statute says otherwise. JAMS consumer fee rules apply when you are a consumer.
Court backup. Either party may seek temporary injunctive relief in a California court to stop unauthorized access, intellectual-property misuse, or a safety or conflict-of-interest violation. If the agreement to arbitrate is found unenforceable as to a claim, that claim may be brought in a California court of competent jurisdiction.
Nothing in this section limits a non-waivable consumer right under California law.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of laws principles.
14. Changes to Terms
We may update these Terms from time to time. When we make material changes, we will provide notice through the Platform or by email. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.
15. Privacy
Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, including Guest Ask, you consent to the collection and use of your information as described in the Privacy Policy.
16. Miscellaneous
- These Terms, together with the Privacy Policy and any Attestation you complete, constitute the entire agreement between you and GovXprt.
- If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
- Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
- You may not assign or transfer your rights under these Terms without our prior written consent.
